R iJl!t.d) A-2006-288 THIRD AMENDMENT TO CONSULTANT AGREEMENT THIS THIRD AMENDMENT TO CONSULT ANT AGREEMENT is entered into on September 18,2006, by and between Townsend Public Affairs, Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Consultant Agreement A-2004-115, dated June 7, 2004, (hereinafter "said Agreement") by which Consultant has provided government liaison services. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services and increase compensation to pay for the additional services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Consultant Agreement, the parties agree as follows: L Section I, SCOPE OF SERVICES, shall be amended to read: "During the Term from June 30, 2006 through June 30, 2007, Consultant shall provide those services set forth in Exhibit A-I, attached hereto." 2. Section 2.a., COMPENSATION, shall be amended to increase compensation $35,000.00, by deleting said section in its entirety and replacing it with the following: ''''a. City agrees to pay, and Consultant agrees to accept as total compensation for its services, including expenses, compensation in the total amount of $60,000.00, annually, to be paid in three monthly payments of $2,083 for July through September, 2006 and nine monthly payments of$5,972.00, commencing October 1,2006. The total amount payable under this Agreement shall not exceed sixty thousand dollars ($60,000.00), during FY 2006-07." 3. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect
