A-2006-148 ~I ~ { , (1 -1 12 J '1 J {j ~ LJ'f+J11 (';;") ( J', /'v11Atfi) SECOND AMENDMENT TO CONSULTANT AGREEMENT THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered into on June 19,2006, by and between Geomatrix Consultants, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Consultant Agreement A-2004-22I dated November 1,2004, (hereinafter "said Agreement") by which Consultant has provided commercial industrial NPDES permit inspections. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period and to increase compensation to pay for services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Consultant Agreement, the parties agree as follows: I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall conduct Facility Inspections, Inventory Management and Enforcement Notifications, as set forth in Exhibit A.l, attached hereto." 2. Section 2.a., COMPENSATION, shall be amended to add $100,000 to the total compensation. Said section 2.a shall be deleted in its entirety and replacing it with the following: "City agrees to pay and Consultant agrees to accept as full payment for its services the rates and charges set forth in Exhibit B-1, attached hereto. Total compensation to be paid pursuant to said Agreement shall not exceed $600,000.00 during the term of said Agreement." 3. Section 3, TERM, shall be amended to extend the termination date from October 31, 2006 through October 31,2007. 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect.
