<br />A-2006-312 <br /> <br />'N~,' <br /> <br />\! ,;!: <br /> <br />:~:< :__\:1 <br /> <br />AGREEMENT FOR ALARM AND <br />SECURITY SYSTEM IMPROVEMENTS <br /> <br />Ij;lj"i_i <br />?; - 0/3.-:.'21--.---------- <br /> <br />~W~~ ~-~~~i~~ THIS AGREEMENT, made and entered into this 20th day of November, 2006 by <br />and between Millennium Alarm Systems, Inc., a California corporation (hereinafter <br />O' Pi) "Contractor"), and the City of Santa Ana, a charter city and municipal corporation <br />r"isCltl. organized and existing under the Constitution and laws of the State of California <br />(hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The City desires to retain a Contractor having special skill and knowledge in the <br />field of supplying and installing security cameras and supporting infrastructure, <br />to enhance security at the Westfield MainPlace Mall. <br /> <br />B. City has been awarded grant funding, through the Governor's Office of <br />Homeland Security, under the 2005 Buffer Zone Protection Program, to <br />procure equipment to enhance the protection of critical infrastructure, <br />hereinafter referred to as "the Grant". <br /> <br />C. Contractor represents that Contractor is able and willing to provide such <br />services to the City. <br /> <br />D. In undertaking the performance of this Agreement, Contractor represents that it <br />is knowledgeable in its field and that any services performed by Contractor <br />under this Agreement will be performed in compliance with such standards as <br />may reasonably be expected from a professional contracting firm in the field. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />I. SCOPE OF SERVICES <br /> <br />Contractor shall perform those services as set forth in Contractor's Quote for <br />Camera System, dated November 8, 2006, attached as Exhibit A to this Agreement. <br />When installed, the cameras shall be linked to the Santa Ana Police Department <br />substation at Westfield MainPlace Mall. Upon installation, the cameras shall become the <br />property of Westfield MainPlace Mall, which shall maintain said cameras and ensure that <br />the link to the Police substation continues. <br /> <br />3. COMPENSATION <br /> <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit A. The total sum to be expended <br />under this Agreement shall not exceed $37,648.00 during the term of this Agreement. <br />
