Section 14: Severabilitv. Should any part of this Agreement be declared by a final decision by a court or tribunal of competent jurisdiction to be unconstitutional, invalid, or beyond the authority of either party to enter into or carry out, such decision shall not affect the validity of the remainder of this Agreement, which shall continue in full force and effect, provided that the remainder of this Agreement, absent the excised portion, can be reasonably interpreted to give effect to the intentions of the parties. Section 15: Time of Essence. Time is of the essence in this Agreement, and the Parties agree to execute all documents and proceed with due diligence to complete all covenants and conditions. Section 16: Counterparts. This Agreement may be signed in counterparts, each of which shall constitute an original and which collectively shall constitute one instrument. Section 17: Entire Aareement. This Agreement contains the entire Agreement between the Parties and supersedes any prior oral or written statements or Agreements between the Parties. Section 18: Effective Date. This Agreement shall become effective on the date first set forth above. Section 19: Term. This Agreement shall remain in effect as long as the County Agreement remains in effect, unless sooner terminated by the mutual agreement of the parties. Section 20: Independent Contractor Status. It is expressly understood and agreed by the parties that each party, while engaged in carrying out and complying with any of the terms and conditions of this agreement, is an independent contractor of the 7
