/1 Z✓Ui - ZY,S <br />I-4- <br />�'���� FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT, made and entered into this 2nd day of January, 2007, by and <br />between Environmental Engineering and Contracting, Inc., ("Consultant") and the City of Santa <br />Ana, a charter city and municipal corporation duly organized and existing under the Constitution <br />and laws of the State of California ("City"), collectively referred to herein as "the Parties". <br />RECITALS <br />A. The Parties entered into Agreement 4A-2005-285, dated December 5, 2005, hereinafter <br />referred to as "said Agreement", for the compliance inspections for the City's Fats, Oil <br />and Grease Control Program; and <br />B. The Parties hereto now desire to amend said Agreement to extend the term of the <br />Agreement and increase compensation to pay for services during the extended term. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as <br />hereby amended, the parties hereto do hereby agree as follows: <br />I. Section 2.a., COMPENSATION, shall be amended to increase compensation by $182,000. <br />Said section shall read, in full, as follows: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Consultant's Cost Estimate and Fee Schedule, Exhibit B -I <br />and B-2, respectively. The total sum to be expended under this Agreement shall not exceed <br />$182,000.00, annually, during the term of this Agreement." <br />2. Section 3, the "Term" term of said Agreement is hereby amended to extend the termination <br />date from December 31, 2006 to December 31, 2007. <br />3. Except as hereinabove modified, the terms and conditions of said Agreement remain <br />unchanged and in full force and effect. <br />// <br />// <br />
