<br />INSURMICE NOi liCi,JUiliW <br />WORK '1r,y PROCEED <br />CLERK OF COUNCIL <br />DATE: 2 ~ / ~ 07 <br /> <br />AGREEMENT BETWEEN THE CITY OF SANTA ANA AND <br />SANTA ANA UNIFIED SCHOOL DISTRICT <br />REGARDING SALE OF SURPLUS K-9 UNIT <br /> <br />This Agreement made and entered into this 31" day of December, 2006, by <br />and between the City of Santa Ana, a charter city and Municipal Corporation of the <br />State of California ("City") and Santa Ana Unified School District, ("District"). <br /> <br />WITNESSETH <br /> <br />Recitals: <br /> <br />A. The CITY owns a 1999 Ford Crown Victoria (hereinafter "Vehicle"), <br />fully equipped with a canine conversion kit. The Chief of Police and <br />Executive Director of Finance and Management Services have <br />determined that the Vehicle is surplus property and has no present or <br />prospective use to the City. <br /> <br />B. The District wishes to purchase said Vehicle for use by the Santa Ana <br />Unified School District Police. <br /> <br />WHEREFORE, it is agreed by and between the parties that the foregoing Recitals <br />are a substantive part of this Agreement and the following terms and conditions are <br />approved and shall constitute the entire Agreement between the CITY and <br />DISTRICT: <br /> <br />I. City shall transfer and deliver to District, and District shall accept and pay <br />$3,300.00 for the 1999 Ford Crown Victoria, VIN #2FAFP7IW2XX105609, <br />known to the City as K-9 Asset #58850, Unit #31-894. <br /> <br />2. District shall take possession of the Vehicle at the City yard, 220 S. Daisy <br />A venue, Santa Ana, California, upon delivery to City of a check in the amount of <br />$3,300.00. Title shall pass to District at the time District takes possession. <br /> <br />3. Said Vehicle is fully equipped with a canine conversion kit, light bar, <br />Unitrol, center console, temperature sensor, and door pop system. The Vehicles <br />does not have a radio or computer installed. <br /> <br />4. City shall transfer Vehicle to District "AS IS". City does not warrant that <br />the Vehicle is of merchantable quality or that it can be used for any particular <br />purpose. District has inspected said Vehicle and accepts it "AS IS". <br /> <br />5. This Agreement supersedes any and all other agreements, either oral or in <br />writing, between the parties hereto with respect to said Vehicle. Each party to this <br />Agreement acknowledges that no representations, inducements, promises or <br />agreements, orally or otherwise, have been made by any party, or anyone acting on <br />behalf of any party, which are not embodied herein, and that no other agreement or <br /> <br />A-2006-335 <br />
