(hereinafter "Contractor"), and the Uty of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). 0'. The City desires to acquire the services and equipment of a capable and experienced commissary supply contractor to provide commissary services for the Santa Ana Detention Facility. B. Contractor represents that Contractor is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional commissary supply company. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall operate the Santa Ana Detention Facility commissary, in cooperation with the Santa Ana employees, as set forth in City's Request For Proposal 06-151, with Contractor's responses intelineated therein, attached as Exhibit A and incorporated by reference. a. All sales of goods will be from an inmate commissary order form which will list all items available through the commissary and the price of each item. b. If sufficient funds are available in the inmate's account, the inmate's order will be filled. All merchandise sold will be of pure and good quality, and the price charged shall be reasonable and subject to review from time to time by the Santa Ana Police Department and Detention Facility. c. Contractor will provide computer software to manage the commissary operation. d. Contractor shall follow its security procedures as set forth in its Response to RFP. The City shall provide Contractor with the space set forth in the RFP for the operation of commissary services, and shall furnish all utilities and facilities reasonably necessary for the efficient performance of this Agreement, including heat, hot and cold water, steam, gas, electric, and garbage removal.
