<br />b. This hold harmless, indemnification and defense provision shall apply <br />regardless of whether or not any insurance policies are determined to be applicable to <br />the claim, demand, damage, liability, loss, cost or expense. Contractor agrees that <br />Contractor's covenant under this section shall survive the termination of this Agreement. <br /> <br />12. Cooperation. In the event any claim or action is brought against City <br />relating to Contractor's performance or services rendered under this Agreement, <br />Contractor shall render any reasonable assistance and cooperation which City might <br />require. <br /> <br />13. Termination. <br /> <br />a. City shall have the right to terminate the services of Contractor at any <br />time for any reason on sixty (60) calendar days written notice to Contractor. In the <br />event this Agreement is terminated by City, Contractor shall be paid for services <br />satisfactorily rendered to the last working day this Agreement is in effect, and Contractor <br />shall have no other claim against City by reason of such termination, including any claim <br />for compensation. <br /> <br />b. Contractor shall have the right to terminate this Agreement at any time <br />for any reason on sixty (60) calendar days written notice to City, and Contractor shall be <br />paid for services satisfactorily rendered to the last working day this Agreement is in <br />effect. <br /> <br />14. Suspension. City may, in writing, order Contractor to suspend all or any <br />part of Contractor's services under this Agreement for the convenience of City or for <br />work stoppages beyond the control of City or Contractor. Subject to the provisions of <br />this Agreement relating to termination, a suspension of the services does not void this <br />Agreement. <br /> <br />15. Notices. Any notices, bills, invoices, or reports required by this <br />Agreement shall be deemed received on (a) the day of delivery if delivered by hand <br />during receiving party's regular business hours or by facsimile before or during receiving <br />party's regular business hours; or (b) on the second business day following deposit in <br />the United States mail, postage prepaid, to the addresses heretofore below, or to such <br />other addresses as the parties may, from time to time, designate in writing pursuant to <br />the provisions of this section. <br /> <br />City: <br /> <br />Executive Director of the Public Works Agency <br />City of Santa Ana <br />20 Civic Center Plaza (M-21 ) <br />Santa Ana, CA 92701 <br /> <br />With courtesy copy to: <br /> <br />4 <br />
