Aofle>) <br /> <br />e <br /> <br />e <br /> <br />N-2002-122-03 <br /> <br />THIRD AMENDMENT TO AGREEMENT <br /> <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into on June 30, <br />2006, by and between Hygiene Technologies International, Inc., a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br /> <br />RECITALS: <br /> <br />A. The parties entered into Agreement No. N-2002-122 dated August 12,2002, <br />(hereinafter "said Agreement") by which Consultant has provided industrial hygiene <br />testing. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said and increase compensation to pay for services during the <br />extended term. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, as <br />amended, and subject to all the terms and conditions of said Agreement, except those <br />amended in this Third Amendment to Agreement, the parties agree as follows: <br /> <br />1. Section 2, COMPENSATION, shall be amended to increase compensation by <br />$10,000.00 to pay for services during the 2006-2007 fiscal year. Said section shall <br />read in full as follows: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A for the air quality study and the <br />following rates for on-call services: <br /> <br />Expert field, preparation and research time <br />Expert deposition and court testimony <br />Senior Industrial Hygienist <br />Industrial Hygienist <br />Word Processor <br />Mileage <br /> <br />$350.00 per hour <br />450.00 per hour <br />175.00 per hour <br />125.00 per hour <br />40.00 per hour <br />.40 per mile <br /> <br />The total sum to be expended under this Agreement shall not exceed $10,000.00 <br />during the 2006-2007 fiscal year." <br /> <br />2. Paragraph 3, TERM, shall be amended to extend the termination date of said <br />Agreement from June 30, 2006 through June 30, 2007. <br /> <br />
