" INSURI\NCE ~_QI ON FILE WORK MI\Y NOT PROCEED CLERK OF COUNCIL DI\ Tf., j- AD -07 0: ~I,J (:l-) (JYt.I.s>~) A -2004-0 19-03 THIRD AMENDMENT TO AGREEMENT THIS THIRD AMENDMENT TO AGREEMENT, made and entered into this 21st day of February 2007, by and between MGE UPS Systems, Inc. a California Corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"), collectively referred to herein as "the Parties". RECITALS: A. The Parties entered into Consultant Agreement A-2004-019, dated February 2, 2004, hereinafter referred to as "said Agreement", by which Consultant has provided maintenance and repair of City uninterruptible power supplies. B. The Parties desire to extend the Term of said Agreement and to increase compensation to pay for services during the extended term and to pay for equipment replacement. WHEREFORE, in consideration of the mutual and respective covenants and promises contained and made herein, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties agree as follows: 1. Section I, SCOPE OF SERVICES, shall be amended to include "Consultant shall provide Full Proactive AC & DC Capacitor Replacement as set forth in Exhibit A-I, attached hereto." 2. Section 2.a., COMPENSATION, shall be amended to provide that Consultant shall provide Premier preventative maintenance service coverage for an annual a price of $16,989. An additional $6,000 shall be available for replacement of the AC & DC Capacitors. The total sum to be expended pursuant to this Agreement shall not exceed $23,000 during the term from March 1,2007 through February 29,2008. 3. Section 3, TERM, shall be amended to extend the Term of said Agreement through February 29, 2008. 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II
