<br />executed this Agreement, and any subsequent amendments thereto, and that have <br />not withdrawn from the ILJAOC. <br /> <br />3.02 The ILJAOC shall be governed by a Board consisting of six (6) <br />Member Police Chiefs each elected for a three-year term by the Orange County <br />Chiefs' & Sheriff's Association along with one designated altemate, to represent <br />those Member Agencies with Police Departments. In addition to the Police Chief <br />representatives, other voting members will be the Presiding Judge of the Orange <br />County Superior Court, the Chief Executive Officer of the Court, three (3) City <br />Manager representatives elected for three-year terms by the Orange County City <br />Managers Association, with at least one (1) of those representatives being from a <br />"contract city" in the County. Each Board member, or in the absence of a Board <br />member, an alternate designated in advance by each said Board Member, shall <br />have one vote on all matters before the Board. Such alternate members may be <br />replaced from time to time at the appointing Board Member's discretion. All Board <br />Members may be removed without cause by their respective appointing authorities. <br /> <br />3.03 In order to ensure efficiency with other related Criminal Justice <br />System practices in the County and with the approval of the voting members, the <br />Board, in its discretion, may also include non-voting members from County of <br />Orange as follows: the Sheriff, District Attorney, Chief Probation Officer, Public <br />Defender, and one (1) representative from the County Executive's Office who will <br />serve at the CEO's pleasure. <br /> <br />3.04 Each voting Board member shall hold office until a successor is <br />selected, elected, hired or appointed, as the case may be, under the powers of this <br />Agreement and each Member Agency. The term of a Board member or alternate <br />(both voting and non-voting) who is a public official or employee of a Member <br />Agency shall terminate upon such Board Member leaving his or her position with <br />the Member Agency. The vacancy of such a member who has left his or her <br />position shall automatically be filled by selection, election, or appointment, as the <br />case may be; according to the selection process adopted by this Agreement and <br />the Member Agency whose representative has left his or her position. <br /> <br />7 <br />
