<br />.,., <br /> <br />EOUIPMENT MAINTENANCE TERMS <br /> <br />1:\ Eouinment Maintenance Ontlons. <br /> <br />A. .. Digital Advantage Service Option. Provides Basic Maintenance service during the hours of 8;00 a.m, through 5:00 p.m., Monday through Friday, <br />local ~excluding Danka observed holidays. Basic Maintenance is defined as that level of maintenance necessary to maintain equipment operation in normal <br />operating condition, including parts replacement and preventative maintenance. Consumable Supplies (except paper and staples) are included. In addition to Basic <br />Maintenance, this option offers the following benefits: 1) Line conditioner - Power surge boxes, and 2) Remote meter capture, and 3) Unlimited access to Danka's <br />Digital Solution Center, and 4) Price stability for Initial Term. <br /> <br />B. X DIgital Standard Service Option. Provides Basic Maintenance service during the hours of 8;00 a.m. through 5;00 p.m., Monday through Friday, local <br />time, excluding Danka observed holidays. Basic Maintenance is defined as that level of maintenance necessary to maintain equipment operation in nonnal <br />operating condition, including parts replacement and preventative maintenance. Consumable Supplies (excluding paper and staples) are included. This option is <br />subject to an annual price escalation of up to eight percent (8%). Customer agrees to provide DanIca with accurate and timely meter readings at the end of each billing <br />period by the means specified by Danka. Customer is solely responsible for providing line conditioners and power surge protection. <br /> <br />c. Digital Maintenance Option. Provides Basic Maintenance service during the hours of8:00 a.m. through 5;00 p.m., Monday through Friday, local tine, <br />excluding Danka observed holidays. Basic Maintenance is defined as that level of maintenance necessary to maintain equipment operation in normal operating <br />condition, including parts replacement and preventative maintenance. This option docs not include any Consumable Supplies and is subject to an annual price <br />escalation of up to eight percent (8%). Customer agrees to provide Danks with accurate and timely meter readings at the end of each billing period by the means <br />specified by Danka. Customer is solely responsible for providing line conditioners and power surge protection. <br /> <br />The following terms apply to All Maintenance Options: <br />1) PrecondJtions. Equipment not newly purchased from Danka must be in good condition on the commencement date of Dank a Maintenance and in the event <br />such equipment requires remedial maintenance or reconditioning prior to commencement or at any time during the term of this Agreement, Customer will be billed <br />for such service. Hardware systems must be installed and operated according to manufacturer's space, electrical and environmental specifications and software <br />installed in accordance with compatibility and backup requirements. Customer is solely responsible for performing nonnal operator functions, system backups, <br />virus scans, and network security. Danka Maintenance does not include troubleshooting of additionaJ hardware or software placements after the commencement <br />date and Customer changes, alterations or attachments may require a change in fees. <br />2) Electrical Requirements. Customer must provide AC outlets with appropriate voltage as specified by the manufacturer. AC outlets should reside on <br />dedicated circuits to prevent brownouts and damage to internal components of interface and multifunction devises. Danka is not liable for electrical work or <br />conditions arising from electrical circuitry external to the equipment or for equipment line cords. <br />3) LlmJtatlons. In the event Danica can no longer provide Maintenance, Danka may terminate Maintenance with thirty (30) days prior written notice. <br />Interconnected and co-located equipment must be covered under the same type of Dank a Maintenance plan. Danka Maintenance plans expressly excludes selVice <br />requirements as the result of equipment abuse, neglect, excessive use, failure to maintain proper electrical or environmental conditions, use of incompatible supplies <br />and/or maintenance required due to equipment relocation by anyone other than Danka ort its authorized representative. Any service provided as the result ofthese <br />conditions will be performed for an additional fee. <br />4) Billing. Danka will invoice Customer for Maintenance at the rates and intervals set forth on the applicable rate sheet. Monthly invoicing may be <br />elected for an additional monthly fee of $15.00. Digital Standard and Digital Maintenance Only options are subject to an annual rate escalator of up to eight <br />percent (8%). <br />5) Term & Termination. The Initial Term of this Agreement shall be as set forth on the applicable rate sheet. Following the expiration of the Initial Term, <br />unless renewed by the parties in writing or terminated with thirty (30) days advance written notice by either party, Danka will continue to provide maintenance on <br />a monthly basis until either party terminates this Agreement upon thirty (30) days written notice to the other Party. Digital Advantage renewal rates will be as set <br />forth herein and Digital Standard and Digital Service Only rates will be at the then current rates. In the event Danka terminates this Agreement due to uncured <br />Customer breach or if Customer elects to terminate Danka Maintenance prior to the expiration of the Initial Term without cause, Customer will be responsible <br />for tbe payment of early termination charges which shall be calculated as the average of the three (3) most recent billing periods multiplied by the total remaining <br />billing periods divided by two (2). <br />6) Reconditioning. In the event that equipment is in need of reconditioning such that Basic Maintenance cannot keep equipment in satisfactory operating <br />condition, Danka will submit a cost estimate of needed repairs, which will be in addition to ordinary Maintenance charges. If Customer does not authorize <br />such repairs. Danka may elect to terminate this Agreement and provide Maintenance on a cost-perwcan basis at the then current rates. <br />7) LIMITATIONS. DANKA WILL NOT BE RESPONsmLE FOR LOSS OR DAMAGE RESULTING FROM ANY DATA LOSS, VIRUS, AND/OR <br />NETWORK SECURITY ISSUES WHICH AFFECTS CUSTOMER HARDWARE OR SOFTWARE. DANKA WILL, AT CUSTOMER'S SOLE EXFBNSE, <br />MAKE A V AlLABLE BACKUP, RESTORATION, ANTI-VIRUS OR NETWORK SECURITY HARDW ARElSOFTW ARE BUT MAKES NO <br />W ARRANTlES IN RELATION THERETO. <br /> <br />4 <br />
