INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL <br />DATE: 6 -//-0 7 <br />0, PRCS 02X0?tiampKiM�� <br />SECOND AMENDMENT TO AGREEMENT <br />N-2005-088-02 <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on April 19, <br />2007, by and between ALICIA DROZD, and individual dba Healthy U ("Consultant") <br />and the City of Santa Ana, a charter city and municipal corporation of the State of <br />California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement #N-2005-088, dated June 24, 2005, (hereinafter <br />"said Agreement") by which Consultant has provided instruction in operating a <br />babysitting business as part of the City's Leisure Class program. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term for an additional one-year period and to increase the compensation to <br />pay for services during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be amended by replacing Exhibit A with <br />Exhibit A-1, attached hereto and incorporated by this reference. <br />2. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following language: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A. The total sum to be expended under this <br />Agreement shall not exceed $10,000.00 annually, during the term of this Agreement." <br />3. Section 3, TERM, shall be amended to extend the termination date to June 30, 2008. <br />4. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
