Ma, nt <br />(z)(t�r,o G1�12�i THIS THIRD AMENDMENT, made and entered into this 15"' day of May, 2007, by <br />and between Trane Inc, ("Contractor") and the City of Santa Ana ("City"), collectively referred <br />to herein as "the Parties". <br />RECITALS: <br />A. The Parties entered Agreement N-2004-062, dated July 1, 2004, hereinafter referred to as <br />"said Agreement", for the provision of maintenance, service, repair and parts for air <br />conditioning systems; <br />B. The Parties hereto now desire to amend the Term of said Agreement and increase <br />compensation in order to provide continuous uninterrupted service under said Agreement. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises <br />hereinafter contained and made, and subject to all of the terms and conditions of said Agreement <br />as hereby amended, the parties hereto do hereby agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended to provide that Contractor shall <br />continue to provide maintenance, service, repair and parts for the City's air conditioning <br />systems as set forth in Exhibit A to said Agreement (Service Agreement). Contractor may <br />provide additional services on an on -call basis, at the written request of the Executive Director <br />of Finance and Management Services. <br />2. Section 2.a., COMPENSATION, shall be amended to set the maintenance fee for the <br />2007/2008 fiscal year at $7,536.00. The total sum for services provided pursuant to said <br />Agreement shall not exceed $20,000,00, annually. <br />3. Pursuant to Section 3, TERM, of said Agreement, the City hereby elects to extend the <br />term of said Agreement for an additional one-year, through June 30, 2008. <br />4. Except as hereinabove modified, the terms and conditions of said Agreement remain <br />unchanged and in full force and effect. <br />/1 <br />
