INSURANCE NOT REQUIRED N- 2005- 066 -01 <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />DATE: 6-PA-67 <br />Co): PAIA (2)(T Cable FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on April 23, 2007, by <br />and between Orchard Supply Hardware ( "OSH ") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ( "City "). <br />RECITALS: <br />A. The parties entered into Agreement N- 2005 -066, dated May 24, 2005, (hereinafter "said <br />Agreement') by which OSH has participated in a voucher purchase program for its "Back <br />Yard Composter Bin ". <br />B. The Term of said Agreement was extended by agreement of the parties. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to increase <br />compensation available for the voucher program and to extend the term of said Agreement. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to <br />all the terms and conditions of said Agreement, except those amended in this First Amendment <br />to Agreement, the parties agree as follows: <br />1. Section 1. B., SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the <br />following: <br />"City of Santa Ana shall <br />1) Reimburse OSH up to $15,000, annually, for all City issued vouchers submitted to <br />OSH pursuant to said Agreement." <br />2. Section 3, TERM, shall be amended to extend the termination date to June 30, 2008. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain <br />in full force and effect. <br />// <br />
