INSURANCE ON FILE N- 2006 - 037 -02 <br />3 WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERKOF COUNCIL <br />DATE: 4.ay 07 el.\ <br />o- 'r SECOND AMENDMENT TO AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on April 2, <br />2007, by and between Display City, Inc., a California corporation ( "Consultant') and the <br />City of Santa Ana, a charter city and municipal corporation of the State of California <br />("City"). <br />RECITALS: <br />A. The parties entered into Agreement N- 2006 -037, dated May 1, 2006, (hereinafter <br />"said Agreement") by which Consultant has provided tree lighting maintenance for <br />the Artist Village Tree Lighting Program. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement for an additional six -month period and increase <br />compensation to pay for maintenance services during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Consultant Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A, A -1 and A -2, respectively. The total <br />sum to be expended under said Agreement, as amended, shall not exceed $15,000.00 <br />during the term of said Agreement." <br />2. Section 3, TERM, shall be amended to extend the termination date to December 31, <br />2007. <br />3. Except as herein amended, all terms and conditions of said Agreement shall <br />remaining full force and effect. <br />
