<br />N-2004-03S-04 <br /> <br />INSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: MAY 1 0 2007 <br />0: ~IJ-C;;J.\ <br />{J.,f1o;et;SJ <br /> <br />FOURTH AMENDMENT TO <br />CONSULTANT AGREEMENT <br /> <br />THIS FOURTH AMENDMENT TO CONSULTANT AGREEMENT is entered <br />into this 1 s1 day of May, 2007, by and between Ace Parking Management, Inc., a <br />California corporation ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ("City"). <br /> <br />RECITALS: <br /> <br />A. The parties entered into Agreement #2004-038, dated March 30,2004, (hereinafter <br />"said Agreement") by which Consultant has operated and managed the City's public <br />parking garages. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend said Agreement for an additional eight-month term (to the end of the calendar <br />year) in order to allow the City adequate time to send out a Request for Proposals, <br />and to increase total compensation to pay for services during the extended term. <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Fourth Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />]. Section 2.a, COMPENSA nON, shall be deleted in its entirety and replaced with the <br />following: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />a Management Fee in the amount of Nine Hundred Ninety Five Dollars ($995.00) per <br />month, as set forth in Exhibit A to said Agreement. The total sum to be expended <br />under this Amendment to Agreement shall not exceed $8,000.00, during the term <br />from May 1, 2007 through December 31, 2007." <br /> <br />2. Section 3, TERM, shall be amended to extend the termination date eight (8) months, <br />from April 30, 2007 through December 31, 2007. <br /> <br />3. All other terms and conditions as set forth in the original Agreement, including the <br />thirty (30) day written notice for termination, shall remain in full force and effect. <br /> <br />II <br /> <br />II <br /> <br />II <br />
