<br />N-2006-108A <br /> <br />. t/)/t- (;>...) <br />o. u~rJ.u.J <br />{P';Wru-~O- <br /> <br />ASSIGNMENT AND ASSUMPTION AGREEMENT <br /> <br />THIS ASSIGNMENT AND ASSUMPTION AGREEMENT ("Agreement") is <br />entered into this 16th day of April, 2007, between the City of Santa Ana, a charter <br />city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"), and the Community Redevelopment <br />Agency of the City of Santa Ana, a public body corporate and politic ("Agency"). <br /> <br />RECITALS: <br /> <br />A. City and Le Plastrier Development Consulting Group, Inc. <br />(hereinafter "Le Plastrier") entered into Consultant Agreement N-2006-1 08, dated <br />October 30, 2006 (hereinafter "said Agreement"), by which le Plastrier agreed to <br />provide a performance review of the Olson Company Disposition and <br />Development Agreement for the Benefit of the City of Santa Ana and the <br />Community Redevelopment Agency of the Santa Ana. <br /> <br />B. Subject to the consent of le Plastrier, City desires to assign <br />to Agency, and Agency desires to assume, all rights, duties, and obligations <br />under said Agreement. <br /> <br />NOW THEREFORE, THE PARTIES AGREE AS FOllOWS: <br /> <br />1. City hereby assigns and transfers to Agency, City's rights, <br />duties, and obligations under said Agreement. However, City shall be provided <br />with le Plastrier's Summary Report, as set forth in Exhibit A to said Agreement <br />and shall be entitled to utilize said report in any manner deemed necessary by <br />City. <br /> <br />2.
