Lee's Gift Shop, a <br />sole proprietorship (hereinafter "Licensee") and the City of Santa Ana, a charter city and municipal corporation <br />duly organized and existing under the Constitution and laws of the State of California ("City"), collectively referred <br />to herein as "the Parties". <br /> <br />RJ;;<;;;!IAL~ <br /> <br />A. The Parties entered into that certain agreement entitled "Site License Agreement between the City of Santa <br />Ana and K. Lee's Gift Shop" dated July I, 2004, hereinafter referred to as "said Agreement", to lease commercial <br />space at The Depot to K. Lee's Gift Shop to be used to provide a gift store to provide essential items to travelers, <br />visitors and employees at The Depot. <br /> <br />B. The parties hereto now desire to exercise the second and final option of said Agreement to extend the <br />'Term" (section 1.02) and to increase the "Compensation" term (section 1.03) of said Agreement. <br /> <br />WHEREFORE, in consideration ofthe mutual and respective covenants and promises hereinafter contained and <br />made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do <br />hereby agree as follows: <br /> <br />I. The "Term" section of said Agreement is hereby amended and extended through June 30, 2008. <br /> <br />2. The "Compensation" section of said Agreement is hereby amended and increased to the monthly amount of <br />$880.00. <br /> <br />3.
