6.15 Personnel Approval <br />The City of Santa Ana reserves the right to demand immediate removal and replacement of any <br />individual assigned under this agreement if, in the City's sole judgment, the person's performance <br />is unsatisfactory. <br />Vendor may offer a replacement for an unsatisfactory individual one time. If this replacement is <br />also unsatisfactory, replacement may be made by the next chosen Vendor under this Agreement. <br />The City reserves the right to dismiss any individual at any time and be liable for payment of <br />services only up to the time of the request for removal, and provided then only if services <br />rendered meet the minimum requirements of the City. <br />6.16 Prices <br />No increase in price (in terms of either the base rate paid to employee, the percentage of markup, <br />or the total cost to the City) will be allowed during the period covered by this agreement without <br />the City's concurrence and prior approval. <br />Adjustments shall be made to minimum wage that are mandated by State and Federal Law. <br />Prices quoted shall be exclusive of all non - applicable Federal and State Taxes <br />6.17 Proof of Authority <br />If the Proposer is a corporation, formal proof of the authority of the officer signing the Proposer's <br />proposal to bind the corporation must be submitted and will be required prior to the City's award <br />of the Agreement. A copy of the corporate resolution or minutes can be adequate proof, a simple <br />letter is not sufficient. <br />6.18 Reservations <br />The City reserves the right to reject any and all proposals and any item or items therein, and to <br />waive any non - conformity of proposals with this RFP, whether of a technical or substantive <br />nature, as the interest of the City may require. <br />The City reserves the right to negotiate, with temporary services agencies, prices for temporary <br />technical personnel and consultants not included within this agreement. <br />The City reserves the right to offer regular employment and to hire a temporary employee without <br />an additional fee or other compensation to the Vendor. <br />6.19 Retention of Employee <br />The Vendor shall not remove an employee once assigned to the City without specific approval <br />from the City's agreement administrator, sufficient advance notice having been given, and <br />necessary arrangements satisfactory to the Agreement administrator having been completed to <br />provide a qualified replacement (if required). This does not apply to termination for cause, the <br />Vendor shall replace the employee at Vendor's expense with a qualified replacement in a timely <br />manner unless the Agreement administrator chooses not to replace the position. <br />
