MAINTENANCE TERMS AND CONDITIONS 1.4 DEFINITIONS 1.l ;Sgreernent" means the agreement between Customer and Intergraph that is created by Customer accepting fhe Quote, which references and is subject to. the Terms and Conditions. The CusNmer~t'.cePted Quote and the Tenus and Conditiom~ make up the Agn>ernent between Customer and Intergraph. 1.2 "tXrstomer" means the eritSty ~ person desirmg to purchase maintenance services. 1.3 'Itrter'graph" means the Security, Goverrrznent & Infrastr[zctiire (SG8i1)".divi93bn d' Intergraph Carpomt[on 1.4 "Coverage Period"' means the Agreement period of performance as designated on the Quote(s). 1.5 "Covered 13nducts" means the hazdware and/or software products listed an the Quote for which Services are to be ptwided by Intergraph. Covered Ptvducts shall also include additional copies of a sofhvare product that are almady covered by the Agreemerrt and that aze purchased by Customer during the Coverage Perini. Covered Products may ineiude products of Security, Gavernarcnt & LrfiaSri'uchrre, as well as Tidttt Party Products, as defined below. 1.S "Quote" means a quotanon for Services submitted to Customer by Intergaph. A Quote may be the quotation fssrred by the Customet' Services Center, but may also be the rrrainterrance quotation submitted to Customer along with a product quotation. 1.7 "Scope of Work" means the specific maintenance services contracted by Customer and to be performed by ~ta'gmPh, as described m secrion 6.0 herein or by a separately executed document 1.8 "Services" means the maintenance services for Covered Products that are further described in the Scope of Work in section 6.0. 1.9 'Terms and Conditions" means these terms and conditions that, together with the Quote accepted by Customer, comprise the Agreement between Customer and Intergraph for the SeMCes. 1.10 "Third Pasty Products" means the hardware or software products of any dtvlslon of ffitergraph Corporation other than Security, Government & hifrasiruchrre and/or of an entity other than Intergraph Corporation 1.11 "Upgrade(s)" means the subsequent releases to applicable softwam products covered under the Agreement 2A AUTHORIZATiONAND PERFOR14fANCE By accepting the Quote issred by Intergraph and paying all charges listed i[r the Quote, `Custorimer' thereby authorizes Intergraph to provide the Services for Covered Products during the Coverage Peafod specified on the Quote, end thereby ag.'iees to these Teems and Conditions. Such Services will be provided m accordance with the Scope of Work a5 sport' red In Section 6.0, or if applicable, a separately executed Scope of Work. Approximately s6dy [trb) days prior to the Agreemerrt expirafion date, Inter'grapb wilt submit to the Customer a renewal Quote that fncludes pndng for the Services during the subsequent Coverage Period. Coverage is not terminated unless Cushimer' provides notiflration at least thirty (30) days prior to the current Agreement's expiration date. If Customer desires to change coverage for the renewal Coverage Period. Customer should uottfy Intergmph arui obtain a revised renewal Quote that reflects CustomeYs wJShes, Provider] such d~azrges are not in vlolallon of these Terms and Conditions. 3.0 ADDYI'fON3 AND MIiLTIPLE LICENSES 3.1 Additions th Agreement th the event Customer purchases additional hardware or softcvam from Intergraph during the teem of this Agreement and does not also purchase maintenance for those items at the time of purchase, Intergraph wfIl notify the Customer by submitting, in writing, another Quote that reflects fhe additional items, effective date(s) of service, and charges for those Items, pursuant to theseTernrs and Conditions. Customer shall purchase maintenance coverage on all addttions of software licenses to a site obtained via software license transfer.
