<br />INSURANCE NOT REQUIRED <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />DATE: 7-1 ~-O? <br />O:PI'A (()('f.2erbq) <br /> <br />N-2007 -076 <br /> <br />AGREEMENT FOR THE DESIGN AND FABRICATION OF <br />SIGNAGE FOR THE DOWNTOWN NATIONAL REGISTER DISTRICT <br /> <br />THIS AGREEMENT, made and entered into this / day of [JUYlP ,2007 by <br />and between JOSEPH J. MUSIL, sole proprietor, (hereinafter "Consultant"), and the CITY OF <br />SANTA ANA, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of Cali fomi a (hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The City desires to retain a consultant having special skill and knowledge in the <br />design and fabrication of historical signage for the Downtown National Register District in the City <br />of Santa Ana. <br /> <br />B. Consultant represents that Consultant is able and willing to provide such services <br />and products to the City. <br /> <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed and products fabricated by Consultant <br />under this Agreement will be performed and produced in compliance with such standards as may <br />reasonably be expected from a consultant in the field. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1, SCOPE OF SERVICES <br /> <br />Consultant shall provide the services and products as set forth in the "Special Provisions <br />and Scope of Work", attached hereto as Exhibit A to this agreement and incorporated herein by <br />reference. <br /> <br />2. COMPENSATION <br /> <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services a <br />fee of $7,000.00. <br /> <br />b. Payment wiIJ be processed within 30 days after receipt and acceptance of deliverables <br />set forth in Exhibit A, and upon receipt of an original invoice by the City. <br /> <br />c. Payment need not be made for work which fails to meet the standards of performance <br />set forth in the Recitals which may reasonably be expected by City. <br />
