The parties entered into Agreement A-2005-041, dated March I, 2005, (hereinafter <br />"said Agreement") by which Consultant has human resources and payroll consulting <br />servIces. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one-year period and to increase the <br />compensation to pay for services during the extended term. \ <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Third Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />1. Section 2.a, COMPENSATION, shall be amended to increase compensation by <br />$100,000 for a total not to exceed amount of $315, 000.00 during the term of said <br />Agreement. <br /> <br />2. Section 3, TERM, shall be amended to extend the termination date through June 30, <br />2008. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to <br />Consultant Agreement on the date and year first written above. <br /> <br />~~ <br />G J ;< ~ <br />PATRICIA-E.
