final payment to Program Manager of any and all amounts owed or due under terms of this <br />Agreement. No such documents should be subject to unauthorized use or reuse, that is use or reuse <br />without prior written authorization of Program Manager to do so. Any reuse of the documents by <br />the City without express written authorization by the Program Manager shall be at the City's sole <br />risk and without liability or legal exposure to the Program Manager or its Consultants. The Program <br />Manager shall cause its Consultants to turn over to the City the following: Record Drawings (as- <br />builts) on mylar (not sepia mylar), diskettes of computer generated plans, equipment and product <br />manuals, all contractor's warranties and guarantees. <br />ARTICLE 14 <br />14. TERMINATION <br />This Agreement may be terminated at any time by either Program Manager or the City upon <br />written notice to the other party. If either party gives notice of termination, the City shall issue <br />payment for all services and work performed and costs incurred to the date of written notice. In the <br />event this Agreement is terminated, Program Manager's shall assign to the City, effective upon <br />such termination, all of its agreements with its Construction Manager, Consultants and Contractors, <br />subject to the prior rights of the surety providing the payment and performance bond required under <br />this Agreement. <br />ARTICLE 15 <br />15. CHANGES <br />15.1 Changes affecting Program Manager and its Construction Manager. Adjustments to <br />the fee compensation of Program Manager under this Agreement, and the fee compensation of its <br />Construction Manager under the Construction Management Agreement, shall be determined as <br />follows: <br />15.1.1 (1) For services performed by Program Manager under <br />this Agreement due to an approved change in the scope of the work of the <br />Project, six percent (6%) of the net additional cost of the work (including <br />additional work performed by Consultants, additional fees, equipment, labor <br />and materials reflected in each change order with Contractors that results <br />from such scope change). <br />(2) For services performed by the Construction <br />Manager involving a change in scope of the work of the Project, no more <br />than six (6%) of the net direct cost of the work, equipment, labor and <br />materials. <br />15.2 Changes Affecting . other Consultants and Contractors. Changes orders affecting <br />Consultants and/or Contractors, and the rules governing the implementation thereof, are set forth in <br />the City's Standard Specifications. <br />15 <br />
