C CONSULTANT AGREEMENT <br />V.nh NguytH"\ <br />THIS FIRST AMENDMENT, made and entered into this 1 51 day of July, 2007 by and <br />between TransCore ITS, Inc., a California corporation (hereinafter "Consultant"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California (hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The City entered in an Agreement with Consultant dated . N./M/\ Z ,2005, for its <br />special skill and knowledge in the field of Traffic Manag~ystem upgrades, <br />maintenance and operational support services. <br /> <br />B. The City and Consultant now desire to amend the Agreement to extend the term and <br />update the rate sheet (Exhibit B to said Agreement). <br /> <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to <br />all the terms and conditions of said Agreement, except those amended in this Amendment, the <br />parties agree as follows: <br /> <br />1. Exhibit B attached to said Agreement is hereby replaced with the new updated rate sheet <br />attached hereto and incorporated herein as Exhibit B-1. <br /> <br />2. The Term set forth in Section 3, of said Agreement shall be extended one additional year, <br />expiring on June 30, 2008. <br /> <br />3.
