(hereinafter <br />"contractor-), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California <br />(hereinafter "City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2007-016, dated January 16, 2007, <br />(hereinafter "said Agreement") by which Consultant has provided commissary <br />services for the Santa Ana Detention Center inmates. . <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement to provide that the City may purchase commissary supplies <br />for use as good behavior incentives for jail inmates. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the parties agree as follows; <br />1. Section 1, SCOPE OF SERVICES, shall be amended to add a provision allowing the <br />City's Jail Administrator, or his designated representative, to purchase commissary <br />items used as good behavior incentives for jail inmates. Such purchases will be <br />identified in the monthly accounting of commissary operations submitted by <br />Contractor, as set forth in Section 2, below. <br />2. Section 2, COMPENSATION, will be deleted in its entirety and replaced with the <br />following: <br />"Contractor shall weekly forward billing to the Santa Ana Detention <br />Facility. <br />Contractor shall keep a complete and accurate record of all gross sales of <br />merchandise records for a period of at least one year. Contractor shall keep for at <br />least one year after termination of this contract, all inmate sales records. All <br />records and books kept by Contractor in relation to services provided by this <br />Agreement shall be open to inspection and audit of the City and its agents during <br />normal business hours. Such records shall be kept separate and apart from any <br />record Contractor maintains in connection with other business enterprises. <br />Contractor shall return to City 40.5% of gross profit from tha commissary <br />operations at the Santa Ana Detention Facility.
