FIFTH AMENDMENT TO PURCHASE AGREEMENT <br />nnTC• j0-f~-D7~1~ <br />Miro~~~'- ~~~THSIS FIFTH AMENDMENT TO PURCHASE AGREEMENT is entered into this 26`h <br />day of July 2007, by and between OPEX Corporation ("Consultant") and the City of Santa Ana, <br />a charter city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Purchase Agreement No. A-2002-031 dated April 3, 2002, <br />(hereinafter "said Agreement") by which Consultant sold to City, and has provided service <br />and maintenance for an automated mail-opening machine. <br />B. In accordance with the intent of the parties, the temp of said Agreement shall be extended for <br />an additional one-year period. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, as amended, except those amended in this Fifth <br />Amendment to Purchase Agreement, the parties agree as follows: <br />Section 1, SCOPE OF SERVICES, shall be amended to provide that Consultant shall service <br />the equipment for an additional one-year term, from August 1, 2007 through July 31, 2008, at <br />a cost of $2,575.00 for all maintenance services provided during that one-year term. <br />2. Section 3, TERM, of said Agreement shall be amended to extend Consultant's obligation to <br />maintain the Model 51 mail openir.~ machine for an additional one-year period, from August <br />1, 2007 through July 31, 2008. <br />3.
