INSURANCE ON ~~ 'J`JORK I~AY PROCEED UNTIL INSURANCE EXPIRES /0-d27-Ud' - CLERK OFCOUNCIL naTE: DEC 3 2007 FIRST AMENDMENT TO CONSULTANT AGREEMENT A-2007-244 THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on November 5, 2007, by and between iWater, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement A-2007-124, dated May 21, 2007, (hereinafter "said Agreement") by which Consultant has provided GIS mapping services to map the Santa Ana water system. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services and increase compensation to provide for additional mapping services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall provide all hardware, software, mapping system conversions, data base design, data collection, technical support and training to complete the water system mapping project, as set forth in Exhibit A to said Agreement. Consultant shall inventory approximately 45,000 water meters as set forth in Exhibit A-1, at±ached hereto and incorporated by this reference. Cons~~ltant may be asked to provide additional services which shall be authorized by a writing executed by the Executive Director of the Public Works Agency. 2. Section 3.a., COMPENSATION, shall be amended to increase compensation by $247,126.00 for a total not to exceed amount of $421,647.00. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
