("Motorola") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement No. A 2002-038, dated April 1, 2002, (hereinafter "said Agreement", attached hereto as Exhibit A and incorporated by reference) by which Motorola has provided maintenance and repair service for City's police radio modems and vehicle radio network controller. B. In order for the system to function properly, the base station must be replaced. C. The parties wish to amend said Agreement to provide for payment for new base station equipment. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions of said Agreement, as previously amended, the parties agree as follows: 1. Motorola shall replace and install new base station equipment, as set forth in Exhibit A, attached hereto and incorporated by this reference. 2. City agrees to pay, and Motorola agrees to accept as total payment for the purchase and installation of the new base station equipment, the rates and charges set forth in Exhibit A. The total amount to be paid for the purchase and installation of the base station equipment shall not exceed $24,150.59. 3. Motorola shall continue to provide maintenance of all equipment, including the new base station, as set forth in said Agreement.
