(�-% FIRST AMENDMENT TO AGREEMENT 13 11 Watson THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 3, 2007, by and between GIS Data Resources, a California corporation ("GDR") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement #A-2007-044, dated January 26, 2007, (hereinafter "said Agreement") by which GDR has provided maintenance and support of the GIS data tracking software containing the public safety geofile. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said agreement and increase compensation to provide maintenance and support during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2 (a) shall be amended to state that the rates and payment shall be in accordance with Exhibit 13-1, attached hereto and incorporated by reference. Total compensation shall not exceed $75,000.00 during the 2007-08 fiscal year. Section 3, TERM, shall be amended to extend the termination date to June 30, 2008. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
