An+hohy 3e~~~, THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 3, 2007, by and between DuChesne and Associates, LLC ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Agreement N-2007-074, dated July 10, 2007, (hereinafter "said Agreement") by which Consultant has performed an operational review of the Santa Ana Police Department B. In accordance with the terms and conditions of said Agreement, the parties wish to increase the Compensation available to Consultant to provide for the continuing operational review and extend the term to provide time to complete the services. Wherefore, inconsideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 2, COMPENSATION, shall be amended to increase the compensation from $25,000.00 to a total amount not to exceed $30,000.00. 2. Section 3, TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall commence on July 1Q 2007 and terminate on the Police Department's acceptance of the fmal review, unless terminated earlier in accordance with Section 12, below."
