CG,Y-i -Tkcwnpkzns FOURTH AMENDMENT TO CONSULTANT AGREEMENT A-2007-279 THIS FOURTH AMENDMENT TO CONSULTANT AGREEMENT is entered into on December 3, 2007, by and between Video Engineering Services ("Consultant') and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Agreement #A-2003-269, dated February 1, 2004, (hereinafter "said Agreement') by which Consultant has provided audio/visual equipment maintenance and service to the City. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend said Agreement for an additional one-year period and to increase compensation to pay for services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform those equipment scheduling and maintenance services as set forth in Exhibits A, B, C and D, attached hereto." 2. Section 2. a, COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit E, attached hereto. The total sum to be expended under this Agreement shall not exceed $99,660.00, during the term from February 1, 2008 through January 31, 2009." 3. Section 3, TERM, shall be amended to extend the termination date January 31, 2009. 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. //
