INSURANCE ON FILE <br />WORK MAY PROCEED A- 2008 -006 <br />UNTIL INSURANCE EXPIRES <br />4- _2 <br />CLERK OF COUNCIL <br />DATE: I -a3 -09 CUSTODIAL MAINTENANCE AGREEMENT <br />(;2) <br />C1Ll derwood THIS AGREEMENT, made and entered into this 7"' day of January, 2008 by and <br />between Able Building Maintenance Company, a California corporation (hereinafter <br />"Contractor "), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City "). <br />RECITALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />custodial services, to provide custodial maintenance services to the Santa Ana Police <br />Administration and Detention Facility. <br />B. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall provide custodial maintenance services for the Santa Ana Police <br />Administration and Detention Facilities, as set forth in City's Janitorial Maintenance Request for <br />Proposals, dated September, 2007, on file with at the Santa Ana Police Administration Building <br />and a portion of which is attached hereto as Exhibit A, and Contractor's Proposal, dated <br />November 12, 2007, attached hereto as Exhibit B and incorporated by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit B. The total sum to be expended under this <br />Agreement, shall not exceed an annual amount of $407,000 during the term of this Agreement. <br />Invoices shall be submitted by Contractor for payment on a monthly. <br />b. Invoices: Upon delivery and receipt of invoice, the City shall pay thirty (30) days after <br />date of invoice and upon the approval of services by the Property & Facilities Manager or <br />designee. Monthly invoices, submitted in duplicate, shall be mailed to: <br />Mary Calderwood <br />Santa Ana Police Department <br />Property & Facilities Manager <br />
