F\re C2) <br />(13,ti1 �lv `) <br />5 2008 <br />FIFTH AMENDMENT TO AGREEMENT <br />A-2006-164-001 <br />THIS FIFTH AMENDMENT TO AGREEMENT is entered into on this 19th day <br />of June, 2007 by and between WESTCLIFF MEDICAL LABORATORIES, INC., a <br />California corporation ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ("City"), <br />RECITALS: <br />A. The parties entered into Agreement #A -2002-157A, dated August 19, 2002, <br />(hereinafter "said Agreement") by which Consultant has provided phlebotomy <br />services including drawing and testing blood samples as part of regular medical <br />exams for Police and Fire personnel. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one year period. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Fifth Amendment to Agreement, the parties agree as follows.- <br />1. <br />ollows: <br />1. Section 2 a., COMPENSATION, shall be amended to read as follows: <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A- 1. attached hereto and incorporated by <br />reference. The compensation to be paid under this Agreement shall not exceed <br />$24,000.00, during the 2007-2008 fiscal year." <br />3. Section 3, TERM, shall be amended to extend the tennination date from June 30, <br />2007 to June 30, 2008. <br />4. Except as herein amended. all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
