, ,

EXHIBIT A

SCOPE OF SERVICES

Consultant will present its Results Rule program for a one-day session with the City's Executive
Management Team (EMT).

The goal of the session is to clearly articulate the City's Way, review the Results Rule concepts,
generate ideas the City can incorporate into its organizational development efforts and build
EMT support for the City's organizational development efforts.

Prior to the session, Consultant will prepare and administer a short survey for EMT members to
complete and return. This survey will help Consultant jump start the process of defining The
Santa Ana Way. In addition, consultant will prepare a handout, which City may duplicate, for
use in the session. After the session, Consultant will meet with the Assistant City Manager for a
follow-up discussion to map out the next steps.

Consultant's fee for preparation work, one-day session and follow-up meeting will be $6,000.00
plus travel and expenses. Travel will not exceed coach fare flying direct from DFW airport.

Consultant will invoice City for 50% of the fee, as a deposit, when the City and Consultant have
set a session date. The balance of the fee will be invoiced at the completion of the session. Ifthe
session is cancelled or postponed, the deposit will be applied toward another date at a mutually
agreed upon time within the following six months.

7
