A-2006-174-001 FIRST AMENDMENT TO CONSUL TING SERVICES AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on January 16, 2008, by and between Government Finance Officers Association of the United States and Canada, an Illinois not-for-profit corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement #A-2006-174, dated July 5, 2006, (hereinafter "said Agreement") by which Consultant has provided consulting and negotiation services in relation to City's procurement ofa new enterprise system supporting the City's finance, human resources, payroll and utility billing functionalities. B. The Parties have discovered that in drafting the agreement the Term was incorrectly identified. The Parties wish to correctly identify the Term of said Agreement. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section II. TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall become effective as of July, 2006 and shall remain in effect until all Services (as defined below) are performed by Consultant, or January, 2007, whichever occurs fust last, unless sooner terminated as provided in this Agreement." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
