EFFECTIVE DATE <br />This Agreement shall be effective as of the date stated above and shall continue <br />until January 25, 2013, unless extended by mutual agreement by the County and OCFA <br />or terminated. Either party may terminate this Agreement by giving 180-days written <br />notice to the other. <br />Section 10. ENTIRE AGREEMENT <br />This Agreement sets forth the entire understanding of the parties with respect to <br />the. subject matter hereof, and supersedes all prior oral and written agreements and <br />understandings relating thereto. No representation, promise, inducement, or statement <br />of intention has been made by either party which has not been set forth in this <br />Agreement and neither shall be bound by nor be liable for an alleged misrepresentation, <br />promise, inducement, or statement of intention not so set forth. No waiver, alteration, <br />modification, or cancellation of any of the provisions of this Agreement shall be binding <br />unless made in writing and signed by the parties. <br />Section 11. NONASSIGNABILITY <br />OCFA shall not assign or transfer this Agreement or all or any part of its rights <br />hereunder, by operation of law or otherwise, without the prior written consent of County. <br />Any unauthorized assignment or transfer shall be null and void and shall constitute <br />grounds for immediate termination of this Agreement by County. This Agreement shall <br />mute to the benefit of and be binding upon any permitted successor or assign. <br />Section 12 . GOVERNING LAW <br />The validity, interpretation, construction and performance of this Agreement shall <br />be governed by federal copyright laws and the laws of the State of California. <br />Section 13. COUNTERPARTS <br />This Agreement may be executed in counterparts, each of which shall be an <br />original and all of which together shall constitute one and the same Agreement. <br />Page6of7 <br />
