INSURANCE ON PILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES {/ <br />~ ri r n ~'/~~l <br />~-~~~~~ <br />CLERK COUNCtt ,l ~' =~ ~ ~`~`'l ~'' <br />ndTF~ <br />SECOND AMENDMENT TO <br />MAINTENANCE & SUPPORT AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT, is entered into on March 5, <br />2008, by and between Tiberon, Inc, a wholly owned subsidiary of CompuDyne -Public <br />Safety & Justice, Inc., a Virginia corporation (Consultant") and the City of Santa Ana, a <br />charter city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement A-2005-251 dated March 28, 2006, (hereinafter <br />"said Agreement") by which Consultant has provided software licenses and <br />maintenance and support for the City's Fire Department Response Management <br />System. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Maintenance and Support for an additional one year term and <br />to increase compensation to pay for support during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Consultant Agreement, the parties agree as follows: <br />1. Consultant shall continue to provide maintenance and support for the covered <br />applications through March 14, 2009, as follows: <br />Covered Application Annual Fee <br />24 Seven Incident System NFIRS & Workstations $9,482 <br />Telestaff Interface $ 110 <br />CAD Adaptor Interface $3,473 <br />24 Seven Prevention, Inspection Activity No Charge <br />Training, Hydrant Maintenance Facility and <br />Vehicle Inventory <br />2. City agrees to pay, and Consultant agrees to accept as total payment for services <br />during the extended maintenance term, the rates and charges set forth above. The <br />total to be expended for maintenance and support during the extended term shall not <br />exceed $13,100.00. <br />N-2007-100-01 <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
