• <br />fulfill all requirements at its own cost and expense except for the compensation <br />specified in the RFP and the PROPOSAL, subject to such modifications as may be set <br />forth in the text of this AGREEMENT. In the event of any inconsistency between the <br />RFP and the PROPOSAL, the PROPOSAL and the revised fee proposals shall <br />control, unless otherwise stated in the text of this AGREEMENT. In undertaking the <br />performance of this AGREEMENT, CONSULTANT represents that it is knowledgeable <br />in the fields specified in Recital A of this AGREEMENT, and that any services <br />performed by CONSULTANT under this AGREEMENT will be performed in compliance <br />with such standards as may be expected from a professional consulting firm in that <br />field. <br />4. Section 2 of the Agreement is amended to read as follows: <br />Consultanf's performance of this Agreement shall be completed by January <br />20, 1998, subject to extension with the approval of the CITY Project Manager, which <br />shall not be unreasonably withheld. CONSULTANT shall commence work no later <br />than five (5) working days following receipt of a Notice to Proceed from CITY. <br />5. Section 3 of the Agreement is amended to read as follows: <br />CITY agrees to pay, and CONSULTANT agrees to accept for said services, an <br />hourly rate and direct cost as specified in the PROPOSAL. The total compensation for <br />the entire scope of service as specified in the PROPOSAL shall not exceed Two <br />Hundred Fifty Three Thousand Seven Hundred and Fifty-Five Dollars ($253, 755) <br />without written approval of the CITY. <br />3 <br />
