• • <br />event of any disagreement between CITY environmental <br />staff . and CONSULTANT over the f orm or substance of any <br />environmental document or part thereof which cannot be <br />resolved after a mutual good faith effort to do so, <br />CONSULTANT shall prepare such document in accordance with <br />the directions of CITY environmental staff, reserving the <br />right to do so under protest. <br />6. INVOICES AND PAYMENTS <br />CONSULTANT shall submit detailed monthly invoices for <br />those portions of services completed for review and <br />approval of the CITY. Invoices shall be submitted to the <br />CITY on the twenty-fifth (25th) day of each month. Each <br />invoice shall be accompanied by a detailed statement of <br />work performed. Not more than eighty percent (80%) of <br />the total fee payable hereunder shall be paid to <br />CONSULTANT until all documents and services required by <br />the RFP and the PROPOSAL are delivered to the City of <br />Santa Ana in their final and completed state. <br />7. REPRESENTATIVES AND NOTICES <br />The Executive Director of the CITY's Public Works Agency <br />(the "DIRECTOR") or his designated representative shall <br />be the representative of the CITY and may issue all <br />consents, approvals, directives or agreements on behalf <br />of CITY called for by this AGREEMENT.
