SECOND AMENDMENT TO AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into this 5th day of <br />May, 2008, by and between Simplex/Grinnell LP ("Consultant") and the City of Santa <br />Ana, ("City"). <br />RECITALS: <br />A. The parties entered into Agreement A-2006-117, dated May 15, 2006, (hereinafter <br />"said Agreement") by which Consultant has provided fire alarm maintenance, <br />inspection and testing. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement to extend the term for an additional one year period and to <br />increase compensation to pay for the extended term and for additional repairs and <br />replacements, as needed. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be amended to increase compensation <br />$65,000.00 to be expended, as follows: <br />• $28,000.00 for required testing and inspection services during the 2008-2009 <br />fiscal year <br />• $10,000.00 is added to pay for required sprinkler head repairs and <br />replacement of smoke detectors during FY 2008-2009 <br />• $5,000.00 for the purchase of Simplex time clocks, services and supplies used <br />by various city departments in FY2008-2009 <br />• A contingency of $14,000.00 is available for additional services which may be <br />required to keep the fire alarm system functional during FY 2008-2009 <br />• $8,000.00 is immediately available to pay existing invoices for services <br />provided during the 2007-2008 fiscal year <br />2. Section 3, TERM, shall be amended to extend the term through June 30, 2009. <br />3. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />// <br />// <br />25G-3 <br />
