INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />I I 15-c~ <br />CLERK OP COUNCIL <br />DATE: 5~ Z 7 oS~ <br />t5 '. soli ce (2~ <br />gob ~ eke..,-~e.l ~ <br />EQUIPMENT MAINTENANCE AGREEMENT <br />N-2008-058 <br />THIS EQUIPMENT MAINTENANCE AGREEMENT (this "Agreement") is made and <br />entered into this 24`"day of April 2008, by and between Audio-Video Integrated Digital Design, a <br />California corporation ("A-VIDD"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />hereinafter "City"). <br />RECITALS: <br />A. City purchased an inmate booking software system which includes <br />camera equipment. City desires to purchase maintenance and support for the camera <br />equipment to keep it operating in good working order. <br />B. A-VIDD has determined that it has the capabilities required to maintain <br />and support said camera equipment. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />A-VIDD shall provide Extended Warranty maintenance and support for the BR300 <br />Camera Unit and Control Station, as set forth in Exhibit A to this Agreement. <br />COMPENSATION <br />a. City agrees to pay, and A-VIDD agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A. The total sum to be expended under this Agreement <br />shall not exceed $5,000.00 during the term of this Agreement. <br />b. Payment by City shall be made within thirty (30) days following execution of this <br />Agreement. <br />3. TERM <br />This Agreement shall commence on the date first written above and terminate on <br />A 200 unless terminated earlier in accordance with Section 12, below. The term of <br />this greement may be extended upon a writing executed by the Chief of Police and the City <br />Attorney. <br />4. INSURANCE <br />Prior to undertaking performance of work under this Agreement, A-VIDD shall maintain <br />and shall require its subcontractors, if any, to obtain and maintain insurance as described <br />below: <br />
