Thereafter, <br />any communication shall be addressed and transmitted to the new address. If sent by <br />mail, communication shall be effective or deemed to have been given three (3) days after <br />it has been deposited in the United States mail, duly registered or certified, with postage <br />prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall <br />be effective or deemed to have been given twenty-four (24) hours after the time set forth <br />on the transmission report issued by the transmitting facsimile machine, addressed as set <br />forth above. For purposes of calculating these time frames, weekends, federal, state, <br />County or City holidays shall be excluded. <br />24. Contract Administrator. The Executive Director of the Parks, Recreation <br />and Community Services Agency, or his/her designee, shall be City's License <br />Administrator for this Agreement and all approval and notices required to be given herein <br />shall be so directed and addressed. <br />25. Incorporation of Recitals and Exhibits. All of the recitals and exhibits <br />set forth in or attached to this License are by this reference incorporated in and made a <br />part of this License. <br />26. Construction. The parties acknowledge that each party and its counsel <br />have reviewed and revised this License and that the normal rule of construction to the <br />effect that any ambiguities are to be resolved against the drafting party shall not be <br />employed in the interpretation of this License or any amendments hereto. <br />27. Governing Law. This License and Operating Agreement shall be <br />construed and interpreted in accordance with and shall be governed and enforced in all <br />respects according to the laws of the State of California, without regard to conflicts of <br />laws principles. <br />28. Entire Agreement. This License and Operating Agreement contains the <br />entire understanding of the parties and supersedes any and all other written or oral <br />11 <br />25R-13 <br />
