INSURANCE NDT REQUIRED WORK MAY PROCEED CLERK Of COUNCIL DATE: 5 ~ _p ~' G : F~~~,~~ ~~) TH]RD AMENDMENT TO AGREEMENT A-2003-145-03 ~1 eY ~ ~ v1 ~'~~~cr c e ( THIS THIRD AMENDMENT TO AGREEMENT is entered into on May 8, 2008, by and between American Capital Enterprises, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). _ RECITALS: A. The parties entered into Agreement A-2003-145 dated July 1, 2003, (hereinafter "said Agreement") by which Consultant has provided collection services in relation to overdue accounts receivable billings B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the compensation rate and extend the term of said Agreement for an additional one-year period. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: Section 1.A.1, SCOPE OF SERVICES, shall be amended by deleting the commission rates set forth therein and inserting new commission rates applicable during the extended term of said Agreement, as follows: "A. Consultant shall provide collection services in connection with overdue miscellaneous accounts receivable billings assigned by City. In performing said services, Consultant agrees it will: 1. Retain commission at the rate of twenty yercent (20%) on all monies collected on assigned accounts, whether paid to City or Consultants at~}ie F..I I,... '... ....~o,.. .°n°RrrrS-rsarr. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect.
