EXHIBIT F <br />MEMORANDUM OF LAND LEASE AGREEMENT <br />THIS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as <br />of , 2008 by and between City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("Lessor") and Omnipoint Communications Inc., a subsidiary of T-Mobile USA, Inc., <br />a Delaware corporation ("Lessee"). <br />WITNESSETH: <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of <br />that certain real property (the "Property") in the State of California, County of Orange, City of <br />Santa Ana commonly known as 120 W. Walnut, Santa Ana, CA, 92701, a legal description of <br />which is shown in Exhibit A attached hereto and incorporated herein by reference, under the <br />terms and conditions of the unrecorded Land Lease Agreement by and between Lessor and <br />Lessee dated by Lessor , 2008, and incorporated herein by reference (the <br />"Agreement") for an initial term of ten (10) years, commencing on the Commencement Date, as <br />defined in the Agreement, and three (3) subsequent optional extension terms of five (5) years <br />each, pursuant to the terms of the Agreement.
