N-2004-120-03 THIRD AMENDMENT TO AGREEMENT FOR PROVISION OF SEARCH ENGINE AND LEGAL DATABASE SERVICES THIS AMENDMENT made and entered into this 21 s` day of May, 2008, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City"), and Lexis Nexis, a division of Reed Elsevier, Ina ("Lexis"). RECITALS A. The City and Lexis entered that certain agreement A 2004-120, dated July 1, 2004, hereinafter referred to as "said Agreement", by which Lexis has provided legal business search system software and services. B. Said Agreement was meant to provide continuous uninterrupted access to the LexisNexis search engine, however, the prior agreement term ended September 30, 2007. B. The parties hereto now desire to extend the Term or the current agreement to include the months that service was provided without a written agreement, and increase Compensation to pay for services during the period from October 1, 2007 through February 29, 2008. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. The Extension Period of said Agreement shall commence on October 1, 2007 and continue through February 28, 2009. 2. The monthly commitment shall be set at $580.00 during the period from October 1, 2007 through February 29, 2008 for a total additional fee of $2,900.00, which shall be paid on execution of this Amendment. The monthly commitment shall be increased to $611.50 commencing March 1, 2008. 3. Except as hereinabove modified, the terms and conditions of said Agreement and all Exhibits thereto remain unchanged and in full force and effect. // // N // // // //
