CMO/ Ca-11~.~ sr1'ar~d~~t~o1 <br />(Z~ <br />FIRST AMENDMENT TO AGREEMENT <br />N-2008-019-01 <br />THIS FIRST AMENDMENT TO AGREEMENT, is entered into on June 26, <br />2008, by and between Pennington Performance Group ("Consultant") and the City of <br />Santa Ana, a charter city and municipal corporation of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into Agreement N-2008-019, dated January 24, 2008, (hereinafter <br />"said Agreement") by which Consultant has provided organizational development <br />services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />expand the Scope of Services, add compensation to pay for the additional services <br />and extend the term of said Agreement for an additional one-year period. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with <br />the following: <br />"a. Consultant shall facilitate aone-day "Results Rule! "organizational culture <br />transformation workshop as set forth in Exhibit A to said Agreement. <br />b. Consultant shall refine the meaning of "the Santa Ana Way" by conducting a <br />focus group, refine and finalize the expectations of the City and develop goals and <br />training programs to implement the Santa Ana Experience, as set forth in Exhibit A-l, <br />attached hereto and incorporated by reference." <br />2. Section 2, COMPENSATION, shall be amended to increase compensation by <br />$15,000 to pay for services. Total compensation to be provided for Consultant <br />services shall not exceed $25,000 during the term of said Agreement. <br />3. Section 3, TERM, shall be amended to extend the termination date to December 31, <br />2008. <br />4. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
