<br />INSURANCE NOT REQUIRED <br />WORK MAY PROCEED <br />CLERK OF COUNCtI <br />DATE: ~-f5-rte <br />~ ; ~r~ar` r-e- C2~ NINTH AMENDMENT TO AGREEMENT <br />~y GIIA-' <br />N-2008-082 <br />THIS AMENDMENT TO AGREEMENT is entered into on May 8, 2008, by and <br />between N. Harris Computer Corporation, previously System Innovators, Inc. ("Contractor") and <br />the City of Santa Ana, a charter city and municipal corporation of the State of California <br />("city"). <br />xECITALs <br />A. The parties entered into Purchase and Software License Agreement #A2001-230, dated <br />September 4, 2001, (hereinafter "said Agreement") for the purchase of computer equipment <br />and supplies, licensing of computer sofware and hardware and software support. <br />B. [n accordance with the terms and conditions of said Agreement, the hardware and software <br />support Agreement continues for succeeding one-year terms unless either party notifies the <br />other of its intent to terminate, in writing, 30 days prior to the end of the then current term. <br />C. The parties intend to provide continuous, uninterrupted service, and therefore, desire to <br />execute this Amendment to acknowledge that the term has been extended for an additional <br />one-year period and to provide additional compensation for software and hardware <br />maintenance for the extended one-year term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Amendment to <br />Agreement, the parties agree as follows: <br />1. The parties agree that the termination date of said Agreement has been extended to March 31, <br />2009. Services provided by Contractor since April 1, 2008 shall be included within the <br />Scope of Services of this Ninth Amendment. <br />2. The amount of compensation to Contractor is hereby amended to increase compensation to <br />an amount not to exceed $25,000.00, to pay for software and hardware support services <br />during the one-year extended term of said Agreement. <br />3. Except as herein amended, all terms and conditions of said Agreement shall remain in full <br />force and effect. <br />// <br />// <br />
