"fhe City and Pl3 Parradyne cntercd into Agrcctnent A-2003-173, dated September <br />22, 2003; {hercinafier "said Agreement") by which Consultant has provided scrviccs <br />in relation to the Adaptive Downtown Traffic Signal Project. <br />13. On Junc 15, 2006, City received notice that PI3 Parradyne was acquired by Telvcnt <br />GI'f S.A. and that the new company, Telvcnt harradyne, Inc., would assume the <br />obligations of said Agrecmcnt. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement increase the Scope of Services and the compensation. <br />Wherefore, in consideration ofthc covenants contained in said Agrecmcnt, and subject <br />to all the terms and conditions of said Agreement, e:tccpt those amended in this Second <br />Atncndment to Agrecmcnt, the parties agree as follows: <br />1. Section t, SCOYI: OP SL•RVICI:S, shall be amended to add a second paragraph, "b". <br />Said Section 1 shall read, in full us follows: <br />"a. Consultant shall per Corm those scrviccs as set forth in Request for frnposal for <br />Advanced Traffic Management System, dated October 2002, the City's Rcqucsl for <br />Proposal Ibr Advanced'Craflic Management System, dated April 2003, Consultant's <br />'T'echnical }'roposal, dated llecember 9, 2002, Consultant's Technical Proposal, dated <br />May 16, 2003 all incorporated hereto and made a part of this Agrecmcnt and <br />Consultant's Cost Proposal, dated May 16, 2003, attached hereto as Exhibit A. <br />b. Consultant shall provide MIST Map Enhancements and upgrade of all City <br />intersections to VM5330 technology in order to allow inter-City monitoring <br />capabilities, as set forth in):xhibit A-1, attached to this Second Amendment io <br />Agrecmcnt, and incorporated by reference." <br />2. Section 2.a., "COMPEN'SA"1'lON", shall be deleted in its entirety and replaced with <br />the following: <br />"a. City agrccs to pay, and Consultant agrccs to accept as total pa}~ment for its <br />scn~iccs, the rates and charges identified in Exhibit A to said Agrecmcnt and L'xhibit <br />
