uVSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: .7-_�Lf - C� <br />?,K'z, 8 Re . <br />Cza,v1�TV ao .Ck; s <br />FIFTH AMENDMENT TO AGREEMENT <br />N- 2008 -090 <br />THIS FIFTH AMENDMENT TO AGREEMENT is entered into on May 16, <br />2008, by and between MARTIN TORRES, a sole proprietor ( "Consultant ") and the City <br />of Santa Ana, a charter city and municipal corporation of the State of California ( "City"). <br />RECITALS: <br />A. The parties entered into that certain Agreement N- 2003 -095, dated October 1, 2003, <br />(hereinafter "said Agreement ") by which Consultant has provided martial arts <br />instruction for the City's leisure class program. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term for an additional one -year period and to increase the compensation to <br />pay for services during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Fifth Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended to increase the per participant <br />class fee from $25.00 to $30.00 per monthly session. <br />2. Section 2.a., COMPENSATION, shall be increased by $25,000 to pay for services <br />during the 2008/2009 fiscal year. <br />3. Section 3., TERM, shall be amended to extend the termination date from June 30, <br />2008 to June 30, 2009. <br />4. Except as herein amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />
